Cyprus company registration fees: what the Registrar actually charges

The government side of forming a Cyprus company is unusually cheap and completely published. Anything else you are quoted is professional fee, and should be itemised as such.

All of these are on the Registrar's own Forms and Fees pages (companies.gov.cy), read on the updated date above. The Memorandum and Articles of Association carry no fee.

What the Registrar does not price

  • The person who does the filing. Incorporation agents, lawyers and corporate service providers set their own fees and the Registrar publishes none of them.
  • Registered office and secretarial services, if you do not have your own address and officer in Cyprus.
  • Accounting and audit, which is the recurring cost that dwarfs the €20 annual return fee.
  • Bank account opening, priced by the bank and often the slowest part of the process.

We do not publish a typical range for any of these, because none is published by an official source and the spread between providers is wide enough that a made-up midpoint would mislead. Get two or three written quotes and compare what is bundled: many headline incorporation prices exclude the first year's audit.

Filing obligations from day one

The Registrar states that the directors are responsible for ensuring the preparation of a complete set of annual financial statements in accordance with International Financial Reporting Standards. Those statements must be presented to the general meeting no later than eighteen months after incorporation, and afterwards at least once per calendar year. The annual return is prepared up to the company's reference date and delivered to the Registrar together with the financial statements within twenty-eight days from its drafting date (companies.gov.cy).

Directors are also responsible for maintaining the accounting books and records on which those statements are based, explaining correctly and precisely all transactions and allowing the company's financial position to be assessed at any time. That obligation is separate from, and starts before, the first filing.

How much does it cost to register a company in Cyprus?

€175 in Registrar fees: €10 for the name approval form and €165 for the incorporation forms HE1, HE2, HE3 and HE5. Professional fees for the agent or lawyer who files them are separate and are not published by the Registrar.

How often must a Cyprus company file accounts?

Financial statements must be presented to the general meeting no later than eighteen months after incorporation and at least once per calendar year afterwards. The annual return is prepared to the company's reference date and delivered to the Registrar with the financial statements within 28 days of its drafting date, at a €20 filing fee.
