Registrar of Companies and Tax Department, 2026

What does a Cyprus company really cost?

The government side is small and published: €10 to approve the name, €165 to incorporate, €20 a year to file the annual return. Two things have changed and most guides have not caught up. The €350 annual levy was repealed from 2024 onwards, and corporate income tax rose to 15% on 1 January 2026. The professional side is where the money goes, and nobody publishes it, so tell us your plan and Cyprus firms will quote you.

Every charge a Cyprus company faces that an official source actually publishes, with the source. Professional fees are excluded, because neither the Registrar nor the Tax Department publishes them and an invented range would be worse than none.

Fees taken from the Department of Registrar of Companies and Intellectual Property's Forms and Fees schedule, its guidance pages and its published announcements, and tax rates from the Cyprus Tax Department and the Ministry of Finance, all read at source on 15 August 2026. Questions, answered directly

How much does it cost to set up a company in Cyprus?

€175 in government fees: €10 for name approval and €165 for the incorporation forms HE1, HE2, HE3 and HE5, filed with the Department of Registrar of Companies and Intellectual Property. Professional fees for whoever files them are separate and are not published by any official source.

What are the annual running costs of a Cyprus company?

In published government charges, €20 a year for the annual return, plus €20 per filing whenever directors, registered office or shareholdings change. There is no longer an annual levy. The real recurring cost is accounting and audit, which is set by your auditor, not by the state.

Is the Cyprus annual levy still in force?

No. The €350 annual company levy was repealed from 2024 onwards by the Companies (Amendment) Law 2024, N.25(I)/2024, published in the Official Gazette on 15 March 2024. Levies for 2012 to 2023 are still collected, with a 10% surcharge after two months and 30% after five.

What is the Cyprus corporate tax rate?

15% from 1 January 2026, raised from 12.5% by the Income Tax (Amending) Law N. 244(I)/2025. Profit on the sale of securities remains wholly exempt, and 80% of qualifying intellectual property profit remains exempt under the nexus approach.

When does a Cyprus company have to register for VAT?

When the value of taxable transactions in the preceding 12 months exceeds €15,600, or will exceed it in the next 30 days. A separate €10,251.61 threshold applies to acquisitions from other EU member states. VAT registration requires a tax identification number first.

What substance does a Cyprus company need?

No Cyprus government source we could read publishes a substance checklist for ordinary companies: no minimum directors, office size or headcount. What the law does contain is the residence test, the arm's length principle, the general anti-abuse rule and transfer pricing documentation requirements. Treat substance packages as a commercial product and ask which specific rule each element answers.
